1. Introduction & Acceptance

These Terms of Service ("Terms") govern your use of PocketWise AI, an AI-powered personal finance management platform operated by CodeSages LLC ("Company," "we," "us," or "our").

By accessing or using PocketWise AI, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the service.

1.1 Changes to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide 30 days' advance notice via email. Continued use after changes become effective constitutes acceptance. You may terminate your account if you disagree with changes.

2. Eligibility & Account Registration

We may suspend or terminate accounts for Terms violations, fraudulent activity, or at our discretion. You may terminate your account at any time via account settings.

3. Service Description

3.1 What PocketWise AI Provides

• AI-powered personal finance management platform
• Multi-bank account aggregation and transaction tracking via Plaid
• Automated bill parsing and categorization
• Debt management and optimization strategies
• Financial forecasting and AI-generated insights
• Budget recommendations and alerts
• Business payment tracking (Stripe integration for business users)

3.2 Service Limitations

• Service provided "as is" with ongoing updates and improvements
• Features may change, be added, or removed at our discretion
• Service availability not guaranteed 24/7
• Dependent on third-party services (Plaid, Stripe, Anthropic)
• NOT a substitute for professional financial advice

3.3 Beta Features

Some features may be in beta testing and are provided without warranty. Feedback is appreciated but not required.

4. Subscription Plans & Billing

4.1 Subscription Tiers

• Payments processed via Stripe
• Subscription auto-renews monthly unless canceled
• Billing occurs on same day each month
• Price at time of renewal applies
• All fees in USD unless specified
• Valid payment method required for all tiers (including trial)

4.3 Price Changes

We reserve the right to change subscription prices with 30 days' advance notice via email. New prices apply at next renewal. You may cancel before the price change takes effect.

4.4 Taxes

Prices exclude applicable taxes (sales tax, VAT, GST, etc.). You are responsible for all taxes calculated based on your billing address.

4.5 Refund Policy

• Free trial cancellations: No charge if canceled before trial ends
• Monthly subscriptions: No refunds for partial months
• Service issues: Refunds considered on case-by-case basis
• Refund requests: Contact help-desk@codesages.net within 7 days
• We reserve the right to refuse refunds for Terms violations

4.6 Cancellation

• Cancel anytime via account settings
• Cancellation effective at end of current billing period
• Access continues until period ends
• No partial month refunds
• Account data retained per Privacy Policy

4.7 Failed Payments

We will retry failed payments. Service may be suspended after multiple failed attempts. Account reactivates upon successful payment. No late fees, but service suspension applies.

5. Bank Connections & Financial Data

5.1 Plaid Authorization

By connecting bank accounts, you authorize PocketWise AI to use Plaid to access your financial institutions. You grant us read-only access to account and transaction data. Your bank credentials are processed by Plaid, not stored by PocketWise AI.

5.2 User Responsibilities

• Provide accurate bank login credentials
• Maintain valid bank account access
• Ensure you are authorized to connect accounts
• You are not responsible for bank fees or restrictions
• Notify us of account access issues

5.3 Stripe Business Account Integration

Business users may connect Stripe accounts for transaction tracking. By connecting, you authorize PocketWise AI to access Stripe transaction data. Connection is subject to Stripe's terms and conditions. You are responsible for Stripe account security.

5.4 Data Accuracy

• We sync data from banks via Plaid
• Accuracy depends on bank and Plaid data quality
• We are not responsible for inaccurate bank data
• You should verify all financial information
• Contact your bank directly for data discrepancies

5.5 Bank Relationships

We are not affiliated with your financial institutions. Banks may restrict third-party access at any time. Service disruptions due to bank restrictions are beyond our control. We will attempt to restore connections when possible.

5.6 Disconnection

You may disconnect bank accounts anytime via account settings. Disconnection stops future data synchronization. Historical data is retained per Privacy Policy. You can reconnect anytime.

6. AI Services & Financial Insights

6.1 AI-Powered Features

• Claude AI provides financial analysis and insights
• Automated transaction categorization
• Bill parsing from uploaded documents (OCR)
• Debt payoff strategy recommendations
• Financial forecasting and projections
• Budget optimization suggestions

6.3 No Guarantees

• AI insights not guaranteed to be accurate or complete
• Financial projections are estimates, not guarantees
• Debt strategies may not reflect individual circumstances
• Market conditions and personal factors may affect outcomes
• Past performance does not guarantee future results

6.4 User Responsibility

• Verify all AI suggestions before acting
• Consult qualified professionals for major financial decisions
• You are responsible for tax implications of financial decisions
• Review all recommendations carefully

6.5 AI Limitations

AI models have inherent limitations and biases. Unusual financial situations may not be handled optimally. AI cannot account for all personal circumstances. Manual review and adjustment recommended.

7. Acceptable Use Policy

7.1 Permitted Uses

• Business expense tracking (authorized business users)
• Legitimate financial planning and analysis

8. Intellectual Property Rights

8.1 PocketWise AI Ownership

All service content, features, and functionality are owned by CodeSages LLC and protected by copyright, trademark, and other intellectual property laws. This includes software, algorithms, design, branding, and documentation. "PocketWise AI" and related marks are trademarks of CodeSages LLC.

8.2 User Data Ownership

You retain ownership of your financial data. You grant us a limited license to use your data to provide services, including processing, analyzing, and displaying data. This license is limited to service provision and improvement.

8.3 AI-Generated Content

AI insights generated from your data belong to you. We retain rights to AI models and algorithms. Aggregated, anonymized insights may be used for service improvement.

8.4 Restrictions

You may NOT:

• Copy, modify, or create derivative works
• Sell, lease, or sublicense the service
• Remove proprietary notices
• Use our trademarks without permission

8.5 Feedback

Feedback and suggestions are voluntary. We may use feedback without obligation or compensation. Feedback does not create a confidential relationship.

9.1 Third-Party Dependencies

PocketWise AI relies on Plaid, Stripe, Anthropic, and Vercel. Third-party service disruptions may affect functionality. We are not responsible for third-party service failures. You are subject to third-party terms and policies.

11. Indemnification

You agree to indemnify, defend, and hold harmless CodeSages LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of third-party rights
• Your financial decisions made using the service
• Your account or data
• Your violation of laws or regulations

12. Term & Termination

12.1 Term

These Terms are effective upon first use and continue until terminated by either party.

12.2 User Termination

You may terminate your account anytime via account settings. Cancel subscription to stop billing. Termination effective at end of billing period. No pro-rated refunds.

12.3 Company Termination

We may terminate or suspend accounts for:

• Violations of these Terms
• Fraudulent or illegal activity
• Non-payment
• Extended inactivity
• At our discretion with or without cause

12.4 Effect of Termination

• Access immediately revoked (or at period end for user cancellation)
• Data retained per Privacy Policy
• Outstanding fees remain due
• No refunds for early termination by Company
• Surviving provisions: IP rights, liability limitations, indemnification

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the United States and the state in which CodeSages LLC is organized, without regard to conflict of law principles.

13.2 Informal Resolution

Before taking formal action, you agree to attempt informal resolution by contacting legal@codesages.net with dispute details. We will engage in good faith negotiations for 30 days.

13.3 Legal Venue

Any legal disputes will be resolved in courts located in the jurisdiction where CodeSages LLC is organized. You consent to personal jurisdiction in these courts.

14. General Provisions

14.1 Entire Agreement

These Terms (including the Privacy Policy) constitute the entire agreement between you and CodeSages LLC, superseding all prior agreements and understandings.

14.2 Severability

If any provision is found invalid or unenforceable, that provision will be severed and the remainder will remain in effect. Invalid provisions will be replaced with enforceable equivalents.

14.3 Waiver

Failure to enforce any provision is not a waiver. Waiver of one breach is not a waiver of future breaches.

14.4 Assignment

You may not assign these Terms. We may assign to affiliates or in connection with merger or sale without your consent.

14.5 Force Majeure

We are not liable for failures beyond reasonable control, including natural disasters, war, strikes, internet failures, or third-party service disruptions.

Legal notices sent via email to your registered email address are effective upon sending. Send legal notices to us at legal@codesages.net.

14.7 Relationship

No partnership, joint venture, or employment relationship is created by these Terms. You are an independent party.
